Label | Licensor

• Label agrees to license digital content to I think music for circulation within the ithinkmusic network.
• Label agrees to the format rules described on the ithinkmusic upload page.
• Label shall be solely responsible for the digital content and agrees to acquire all necessary rights, licenses and clearances for the sale and distribution of the music and provide ithinkmusic with copies of such agreements. 
• Label reserves the right to select stores that will have access to its catalog or not.
• Label sets the List Price for each release.
• Label will receive one (1) digital store to sell its uploaded content.  The Label can list an unlimited amount of its own releases for sale in addition to the amount allowed for Retailers.
• Label reserves the right to renege on this contract by removing content from the site.

Retailers

• Retailers agree to sell digital content on the site provided by I think music and retain 30% of the List Price, as designated by the label.
• Retailer receives one (1) online digital store to sell content that includes tools necessary to establish and maintain a customer base through mail outs and other networking tools.
• Retailer begins with up to 100 releases on his or her shop and can increase their catalog by an additional 20 releases per week.
• Retailer can build compilation releases by licensing tracks from Labels at determined amount set by the Label.  These compilation releases are exclusive to the Retailer's store.
• Retailer must not use this service fraudulently or in connection with any criminal offense and may not use it to send, defamatory or obscene emails, or unsolicited promotional material or spam.

Third Party Content Providers | Distributors

• Distributors agree to act in behalf of labels and upload content onto the I think music database according to the methods and rules described on the I think music website.

I think music

• Ithinkmusic shall provide the label with all the necessary tools for uploading content (music, pictures, text) onto their account.
• Should the Label desire it, ithinkmusic will make available the label's catalog for circulation within the ithinkmusic network.
• I think music will provide retailers the necessary tools to build their own customized online store. 
• I think music will provide the label one (1) online retail store for all of the label' s content.
• I think music agrees to manage all broadcast royalties.

Proceeds and Payments

• Each store receives 30% of the List Price per unit sold as determined by the Label.
• Each label receives 65% of the SRP per unit sold through other stores.
• Each label receives 95% of SRP from sales from its own store.
• For distributors or third party content aggregators, PPD is determined as 65% of the suggested retail price.
• Ithinkmusic processes payments made from customers to Retailers using PROTX and other merchant tools.
• Label or Retailer handles billing through the ithinkmusic accounts interface. 
• Payments to Retailers and Labels are processed using either a Verified Paypal account or UK/EU bank transfer, with all fees payable by the receiver.
• Ithinkmusic will retain 5% of the List Price as a fee for its service.
• 8% net is deducted from the store share to pay royalties (MCPS Fees).
• Each account holder agrees to pay a £10 setup fee for their account (Free for the first 1000 accounts).
• Each account holder agrees to pay a £10 per annum deposit refundable where turn over per annum exceeds £100. (Free for the first 1000 accounts until 1st january 2009)
